Non-Disclosure Agreement (NDA) — Confidential Beta
NON-DISCLOSURE & CONFIDENTIALITY AGREEMENT — TieApp Private Beta

This Non-Disclosure & Confidentiality Agreement ("Agreement") is entered into between TieApp and its operator ("Company", "we", "Disclosing Party") and the individual who signs below electronically ("Recipient", "you"). You must read and agree to this Agreement before being granted access to the TieApp private, pre-release beta.
1. PURPOSE
You are being given access to a confidential, pre-release beta of TieApp ("the Beta") solely to evaluate and test it and to provide feedback to the Company. You receive no other right.
2. CONFIDENTIAL INFORMATION
"Confidential Information" means all non-public information you receive, access, or observe in connection with the Beta, in any form (visual, oral, written, electronic), including without limitation: (a) the existence, nature and status of TieApp as a pre-release product; (b) its features, functionality, user interface, designs, screens, flows and user experience; (c) the underlying idea, concept, know-how and business model; (d) source code, architecture, algorithms, prompts and technical methods; (e) pricing, unit economics, monetization and financial information; (f) the product roadmap, plans and strategy; (g) any data, messages or other persons' information visible within the app; and (h) the existence and contents of this Agreement.
3. CONFIDENTIALITY OBLIGATIONS
You will: (a) keep all Confidential Information strictly secret; (b) not disclose, share, copy, screenshot, record, post, publish, broadcast, demonstrate or show it to any person outside this Beta; (c) not publicly discuss or reference it (including on social media, blogs, messaging groups, press or public forums) until the Company makes it public; (d) use it only for the Purpose in Section 1; and (e) protect it with at least the same degree of care you use for your own most confidential information, and never less than a reasonable degree of care.
4. NO COPYING — NO COMPETING USE (INTELLECTUAL PROPERTY)
This is a core purpose of this Agreement. You will NOT, directly or indirectly: copy, reproduce, imitate, adapt, reverse-engineer, decompile, disassemble or attempt to derive the idea, concept, design, features, technology, algorithms or business model of TieApp; nor use any Confidential Information to create, develop, fund, advise, or assist any product, service or business that competes with or is similar to TieApp. All intellectual property and other rights in TieApp belong solely to the Company. This Agreement grants you NO license or right of any kind, by implication or otherwise.
5. EXCLUSIONS
Confidential Information does not include information that you can demonstrate: (a) is or becomes publicly available through no act or omission of yours; (b) was lawfully known to you, without obligation of confidence, before disclosure; (c) is independently developed by you without use of or reference to any Confidential Information; or (d) you are required to disclose by law or court order, provided you give the Company prompt prior written notice so it may seek protection and you disclose only the minimum required.
6. FEEDBACK
Any feedback, comments, ideas or suggestions you provide regarding the Beta ("Feedback") may be used by the Company freely, worldwide, perpetually and irrevocably, without any obligation or compensation to you, and all rights in such Feedback are assigned to and become the property of the Company.
7. NO OBLIGATION; NO RELATIONSHIP
This Agreement does not obligate either party to proceed with any transaction, partnership, investment, employment or other business relationship, and is not an offer of any of the foregoing. It creates no agency, partnership or joint venture.
8. BETA — PROVIDED "AS IS", NO WARRANTY
The Beta is provided "as is" and "as available". It may change, malfunction, or stop at any time and may contain errors. Translations and AI outputs are best-effort and are not guaranteed to be accurate. To the extent any paid feature exists during the Beta, amounts are non-refundable for outages or technical problems (see the Terms of Use). The Company disclaims all warranties to the maximum extent permitted by law.
9. RETURN / DELETION
Upon the Company's request, or when your access ends, you will immediately stop using and will delete or destroy all Confidential Information in your possession or control, and confirm this in writing if asked.
10. TERM & SURVIVAL
Your obligations begin when you first access the Beta (or sign, whichever is earlier) and survive termination of your access. They continue with respect to each item of Confidential Information until it lawfully becomes public through no fault of yours, or for five (5) years from the date of signing, whichever is longer.
11. REMEDIES
You acknowledge that any breach of this Agreement would cause the Company irreparable harm for which monetary damages would be an inadequate remedy. The Company is therefore entitled to seek injunctive and other equitable relief, in addition to any other remedies available at law, together with reasonable attorneys' fees and costs.
12. GOVERNING LAW & JURISDICTION
This Agreement is governed by and construed under the laws of Japan. The parties submit to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所) as the court of first instance for any dispute. The Japanese-language version of this Agreement is the authoritative version and prevails over any translation.
13. ELECTRONIC SIGNATURE
By typing your name and email address and clicking "Agree & enter," you are electronically signing this Agreement. You confirm that: you have read and understood it; the information you provided is true and accurate; you are at least 18 years old and have authority to enter into this Agreement; and your electronic signature has the same legal force and effect as a handwritten signature. The Company records your name, email, the date and time, your IP address and the agreement version as evidence of your signature.
14. MISCELLANEOUS
If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force. This Agreement is the entire agreement between the parties regarding its subject matter and supersedes prior discussions. The Company may update this Agreement; your continued access after an update constitutes acceptance of the updated version. A failure to enforce any right is not a waiver of it.

Terms of Service (Beta)
These Terms govern your use of TieApp (the "Service"). By using the Service you agree to these Terms.
1. What the Service is
TieApp provides an information & consultation service for visitors to Japan — anonymous help via in-app chat, voice and video (with AI auto-answers and auto-translation), delivered by Agents engaged by TieApp as independent contractors (業務委託).
- Agents are independent contractors engaged by TieApp — not employees or representatives. They work at their own discretion, are responsible for their own conduct, and indemnify TieApp for it.
- TieApp's responsibility is limited. Information is reference only (below); we are not liable for indirect or consequential loss, and our liability is capped at the fees you paid for the relevant session.
- TieApp is not responsible for what happens after a match — the conversation, conduct, any arrangement, or its outcome between users. Only money held in-app is settled by AI (see §6); everything else — including any non-monetary issue or anything off-platform — is resolved between the two users themselves, in good faith. You use the Service at your own risk and accept this by using it.
- Answers are reference information, not professional advice. You use the Service at your own judgment and risk.
- This is a beta (trial) service. Features, prices and available Agents may change or stop without notice.
- Both the customer and the Agent must agree to these Terms (Agents also accept a separate Agent Agreement) before use; consent is collected at the start of use.
2. Beta · nature of answers
- The Service is experimental (beta); features, prices and Agents may change or be interrupted without notice.
- Agent answers and AI answers are personal opinions / reference information from locals, not professional advice (medical, legal, financial, tax, visa, etc.). We do not guarantee accuracy, timeliness or completeness, and they may contain errors. Always confirm important decisions with official sources or professionals.
- Auto-translation is machine-generated and may contain mistranslations or lost nuance. Confirm important details against the original.
3. 15-minute response guarantee (refunds)
- If there is no response at all within 15 minutes of a confirmed match → full refund (including the match fee).
- If there is only a greeting (no substantive reply) → the service fee is refunded; only the match fee applies (Agent is paid $0).
- If a substantive reply was given, normal charges apply. Refunds solely because you were "not satisfied with the content" are not available, given the reference nature of the information.
4. Anonymity · prohibited conduct
- Real names, faces and contact details are kept private for both customers and Agents.
- Exchanging or requesting contact details (LINE/WhatsApp/phone/email/SNS, etc.) — including disguised or encoded attempts (spelled-out or image-based numbers, hints, codes) — or steering the conversation off-platform is prohibited for both customers and Agents. All conversations — including voice and video calls — are recorded and transcribed, and reviewed by automated (AI) checks that keep improving, which may run at any time, including retroactively. We do not monitor everything — reviews are sampled or triggered and are done with care for your privacy — but a violation can surface at any time. A confirmed violation forfeits not only that session but all of your unpaid, accumulated earnings, and leads to a ban. Because earnings pay out about a month later, a violation found at any time before payout is forfeited.
- Illegal acts, sexual services, discrimination, harassment, impersonation, fake profiles and bulk requests for resale are prohibited.
- TieApp does not permit or authorize any illegal activity on the Service. You agree to comply with all applicable laws (including the laws of Japan), not to use the Service for any unlawful purpose, and not to ask or cause another user (including an Agent) to do anything illegal. Both parties accept this when they tap to agree before use.
- You are anonymous to other users, but not to us. We hold each user's verified identity (KYC) and timestamped, recorded logs. In cases of illegal activity, fraud or harm to another user, your identity and logs may be disclosed to the police, relevant authorities and affected parties as permitted by law — and any pending earnings are forfeited.
- No services that need a license or permit (e.g., medical acts / 医療行為, legal or financial advice) and no dealing in anything restricted by law — the Service is for casual local information & help only.
- Violations: warning → temporary suspension → permanent ban and forfeiture of unpaid earnings.
5. Payments · logs · liability
- Prices are dynamic (supply/demand), shown in USD by default. Payments are processed by third-party processors (e.g., Stripe).
- Amounts are deliberately kept small. A single transaction is capped (about $100, with a daily limit) so that, even if the parties disagree, no one suffers a serious loss. Do not arrange larger or off-platform payments.
- For safety and dispute resolution we retain conversation logs — text, plus recordings of voice and video calls and their transcripts — for at least 90 days (longer where needed for safety or an unresolved dispute).
- The Service is not a substitute for emergency services. In an emergency call 110 (police) / 119 (ambulance).
- Our liability is capped at the amount you paid for the relevant transaction; we are not liable for indirect or consequential losses. Disputes between an Agent and a customer are the responsibility of those parties (we may assist).
- Each user is responsible for their own conduct, statements and content, and will indemnify and hold us harmless from third-party claims arising from them.
6. Disputes · governing law · changes
Disputes about an in-app session are resolved by AI review of the session logs against our published rules; both parties agree at the start to accept that outcome as final for the funds held in-app, rather than through court proceedings. This governs in-app fund allocation and is our agreed dispute process (not formal legal arbitration).
The AI process covers only the money held in-app. Any other matter — conduct, safety, the quality or outcome of help, and anything arranged off-platform — is resolved between the two users themselves, in good faith. TieApp is not a party to it and bears no responsibility for it; we may, at our discretion, assist or act only in cases of illegal activity, fraud or harm.
These Terms are governed by the laws of Japan. We may amend these Terms as needed; amended Terms take effect when posted on this page.
Privacy Policy (Beta)
1. Information we collect
- Account info (handle, authentication, language settings, etc.).
- Identity verification (payment-processor KYC, Agent verification documents, etc.). These are held only by us and not disclosed to other users.
- Conversation logs and usage history (retained 90 days), device and access info.
- Card and payment details are processed by the payment provider (e.g., Stripe); we do not store them.
2. Purposes
- Matching, translation, payment, identity verification, fraud prevention, dispute resolution and quality improvement.
3. Sharing
We do not share personal data with third parties without consent, except as required by law or for fraud investigation, dispute resolution or legal requests. Service providers (payment, translation, infrastructure) may receive the information needed for those purposes.
4. Retention · your rights
Conversation logs are retained for 90 days by default. You may request access to, correction of, or deletion of your information (via the contact below).
